NDA: One way agreement to be used when one company is planning on disclosing confidential or proprietary information to another party & desires for that other party to keep the information confidential & not use the information other than for evaluating a possible transaction w/ the disclosing party. It only contemplates confidential information being disclosed from one party, and not mutual disclosures.
MNDA: Two way agreement allows both parties to a potential transaction to share confidential information. The recipient of confidential information is obligated to keep such information confidential and not to use it for any purpose other than the evaluation of the proposed transaction.
Please note in general NDA require 1-4 days to complete and MNDA require 3-7 days to complete. If you require the NDA/MNDA in a shorter time frame we will do our best to accommodate your needs.
